If you advise clients on M&A matters such as company sales and don’t have a tax department in your firm you (and your client) may have a problem. The tax clauses in the SPA will need to be reviewed to ensure the risk of unforeseen tax liabilities is fairly allocated between buyer and seller. This work requires a tax specialist to ensure your client is properly protected. Potential issues include: ➡ Time limits on notifying a claim ➡ What must be included in a claim ➡ Exclusions from claims ➡ Who takes charge of the conduct of any claim (always a hotly contested clause) ➡ What information must be included in the disclosure letter in respect of tax matters … and many other issues which are bespoke to each client. We regularly work alongside law firms as part of their team when their clients are selling companies to cover off the tax issues alongside the corporate work. Our Autumn countryside hike for women in M&A is next week. Guests will don sturdy boots and embark on a 3 hour/10k loop through the countryside with a country pub lunch towards the end, before we finish back at Beaconsfield station. When we first ran this event in the Spring, we found that our members really valued the relaxed atmosphere and space for some quality, unrushed 1:1 time with each other. The fresh air and beautiful scenery is a lovely bonus.
