And this is where adding diversity and broader perspectives to the board gains importance - a key point in our discussions in the CII sub-group which I had the privilege to chair within the CII Corporate Governance Council. Really!? The announcement of "#independent Directors" in situ as if it is an innovation......it seems ASX Principle 2 - Recommendation 2.3 has been a revelation to some, but to most of us, it has been a preferred way to insure that behaviours and decision making within a board are monitored by a truly impartial cohort of Directors "#independents" . The appointment of Independent directors should NOT be an afterthought or strategy to safeguard the repeat of poor practices , it should have been there from day one to prevent said poor practices & decision making. Private Company Governance is quickly maturing. Private company boards are increasingly assuming many of the same responsibilities and best practices as public companies. That's been a huge takeaway from this week's Private Company Governance Summit - amazing companies, growing quickly, quietly & humbly, with the oversight and guidance of insightful and effective boards. But here's the thing. Owners can vest the board with authority, and the board chair can ensure that governance is superb.....but you need the right directors, including independents; selected for culture, expertise, fit against the skills matrix, etc. Sometimes those are unicorns - but you have to keep looking and upgrade appropriately. The days of lifetime sinecures are over, and the pool extends well beyond neighbors and acquaintances. Such observers may, practically, wield significant influence over a company’s board, directing decisions and actions. While seemingly cautious, this trend raises questions about the blurred boundary between observers and shadow directors.
