As a company committed to creating material benefits for all stakeholders, including the Government and people of Tanzania, it is imperative that I raise ethical concerns regarding this association. As you are aware, the reputation and ethical conduct of individuals within the mining industry can profoundly impact the standing of a company and its stakeholders. With HR Machiavelli's history of controversial actions and the collapse of Asanko Gold Mine, it is critical that Perseus Mining performs a thorough background check on his past conduct. Failure to do so may lead to severe repercussions, including a potential decline in the company's share value on the stock market. The case of Bre-X Minerals Ltd. serves as a poignant reminder of the dangers of unchecked alliances in the mining industry. The company's stock value plummeted from a peak of over $280 per share to virtually nothing after it was revealed that significant amounts of gold had been fraudulently reported at its Busang mine in Indonesia. The aftermath left investors and stakeholders reeling from the impact of unethical practices. Similarly, the case of the Ok Tedi Mine in Papua New Guinea is a stark example of the far-reaching consequences of environmental and ethical misconduct in mining. The mine's operations led to widespread environmental damage, including the release of toxic tailings into the local river system. The resulting ecological and social impact reverberated for years, underscoring the imperative of maintaining ethical standards in the industry. In light of these cautionary tales, it is incumbent upon Perseus Mining to exercise due diligence and uphold the highest ethical standards. The acquisition of Nyanzaga Gold Project and the prospect of maintaining high production levels must not come at the cost of compromised ethics and tarnished reputation. Therefore, I urge you to perform a comprehensive background check on HR Machiavelli and take decisive action to uphold the ethical integrity of Perseus Mining. The future of the company and its stakeholders hinges on the maintenance of ethical standards, and any association with individuals of questionable repute poses a significant risk. The ethical imperative demands nothing less than a meticulous and unwavering commitment to integrity, transparency, and responsible conduct in all endeavors. Congratulations to Leonoil Company Limited (Leonoil) on the execution of a Bid Implementation Agreement with Sierra Rutile Limited (SRX), under which Leonoil will offer to acquire all of the issued and outstanding ordinary shares in SRX it does not already own under an off-market takeover bid. Leonoil currently holds 19.85% of SRX and is offering a cash consideration of A$0.18 per SRX Share that it does not already own. This Offer represents a 12.5% premium to the A$0.16 a share offer price of Gemcorp Commodities Assets Holdings Limited’s (Gemcorp) off-market takeover bid announced on 1 July 2024. Importantly, the Leonoil Offer is not subject to any minimum acceptance condition, compared to Gemcorp’s 51% minimum acceptance condition. Sternship is pleased to be acting as financial adviser to Leonoil, alongside Gilbert + Tobin who is acting as legal adviser to Leonoil.

Roxas Holdings Inc. This development follows the news that Leviste's Countryside Investments Holdings Corp. has signed a preliminary term sheet with tycoon Manuel Pangilinan, proposing a P5 billion investment for a 71.6 percent stake in RHI, although this agreement is not yet legally binding and remains contingent on several conditions including approvals from corporate boards, shareholders, and regulatory bodies. Perseus refers to its off-market takeover bid under Chapter 6 of the Corporations Act for all the current and to be issued ordinary shares in OreCorp. Perseus is pleased to announce that Silvercorp Metals Inc has accepted the Perseus Offer. Silvercorp’s acceptance was for a total of 73,889,007 OreCorp Shares (representing 15.61% of OreCorp Shares on issue). As at 9 April 2024, Perseus has a relevant interest in 354,982,123 OreCorp Shares (representing 74.98% of OreCorp Shares on issue). The Perseus Offer is open until 19 April 2024 (unless extended). Perseus wants to reiterate that the Offer is: • unconditional; and • best and final in the absence of a competing proposal. We'd like to provide an update on the proposed transaction with Silvercorp Metals Inc. On November 2, 2023, the Scheme Booklet, which included the explanatory statement and notice of the Scheme meeting, was mailed to shareholders. On 9 November 2023, Silvercorp released unaudited financial statements for the six and three-month periods ending 30 September 2023. The independent expert, BDO Corporate Finance, confirmed that the Scheme remains fair and reasonable and in the best interest of OreCorp shareholders based on the September Financial Results. The Independent Expert's conclusion is subject to the full Independent Expert's Report and the Scheme Booklet, and their consent to this announcement's references remains unchanged. The Scheme Meeting for shareholders to vote on a proposed scheme is set for December 8, 2023, at 10:00 am (AWST). The meeting will be held at Level 12, 2 The Esplanade, Perth, and virtually through our share registry platform, Automic. This morning Lebanon’s Sidara walked away from discussions with the London-listed consulting and engineering group Wood, citing “rising geopolitical risks and financial market uncertainty”. This will be a major blow for Wood’s shareholders - its share price has fallen 39% so far today, at 121p at the time of writing, far below the 230p that had been tabled by Sidara. Our 8.3 tracker shows that 5 new hedge funds have built up stakes of over 1% since the start of the offer period and now face sizeable losses. Shareholders will be feeling a sense of deja vu, as last year Apollo had proposed an offer of 240p before ending discussions in May 2023. Occidental, CrownRock Merger Under Regulatory Review: 2024 Update #CrownRock 94,000+ net acres #acquisition, valued at $12.0 billion, boosts #Occidental #MidlandBasin presence and enhances its #PermianBasin portfolio. The U.S. antitrust agency has initiated a detailed investigation into Occidental Petroleum Corp's proposed $12-billion purchase of CrownRock LP, a Permian-based producer. Occidental will pay for the purchase by borrowing $9.1 billion, taking on CrownRock's existing $1.2 billion debt, and giving $1.7 billion in common stock to CrownRock owners.  Occidental, backed by Warren Buffet, along with CrownRock, recently received a "second request" from the Federal Trade Commission (FTC) for more information on the deal, as disclosed by Occidental to the U.S. Securities and Exchange Commission (SEC). This request aims to assess if the merger violates antitrust laws.
