Liquidation preference has long been a staple in Venture Capital funding, serving as a financial safeguard for Investors. While it addresses real challenges around risk and financial returns, it’s far from a panacea. The very structure that aims to protect Investor capital can become a breeding ground for conflicts between Venture Capitalists and Founders, and even among Venture Capitalists. The rising complexity and scale of Venture Capital deals further magnify these challenges, exposing the imperfections of this time-tested mechanism. In this post, I dive deep into the mechanics of liquidation preference. I begin by explaining why liquidation preference exists and the different types that are commonly used. The core of the article focuses on unpacking the potential conflicts it can cause—both between Venture Capitalists and Founders, and among Venture Capitalists. Finally, I outline some best practices for mitigating these conflicts and fostering more harmonious relationships in Venture Capital deals. A quick tip for any founder who is preparing to pitch technology within an immature field to investors: keep in mind that good VCs will scrutinize the context in which the claims about technical performance that you’re making were achieved. We know that lab conditions and the real world are two very different things. If you’re working with something at a lower level of technological readiness, be prepared to identify the engineering challenges that real-world replication will pose and clearly set out your plans for tackling them. If you need to do further research, tell us what directions you’ll be going in. I’m not usually one to share personal stories on LinkedIn, but today is an exception: Four years ago, during the COVID lockdown, Climate X was born in our bedrooms across Birmingham, London, and Lyon. Lukky A., 🚀 Kamil Kluza, Raiyan Ahmed and I, we embarked on a mission to help financial institutions tackle climate risks using the best data available. We spent countless hours pitching our vision (hello 4.00am talks in ClubHouse!), refining our pitch decks, and building our MVP. Then everything went fast by opening our first office, hiring the first employees, first events, first calls, first prospects, launching our products, Spectra and Adapt,... This journey has been filled with moments of laughter, intense discussions, stress, and immense joy, success, failure,... and as I always say, Climate X is more than just a job to me; it’s a story of resilience, innovation, and making a meaningful impact. Today, we’re proud to provide our customers with an exceptional solution and we will keep doing even more! For me, Climate X is more than just work.
