It’s National Payroll Week this week. ⚠️ Did you know that many payroll errors relate to share plan awards? It isn’t just late payment interest to think about… ❗️A tax on tax charge can arise if the correct PAYE and NIC has not been collected from the employee by 4 July following the tax year for which the tax on a share based payment is due. Robustly drafted tax indemnities can help but be prepared to enforce them. ‼️A carelessness penalty can be up to 30% of the tax due. ⚠️ Employers may need to operate payroll for a leaver long after their p45 has been issued. How generous are your share plan good leaver terms? Are you storing up a payroll admin headache? ⚠️ Beware internationally mobile employees who may trigger tax charges in multiple jurisdictions where work duties are carried out in different countries over a share option vesting period. ✅ Consider a plan healthcheck to identify any areas for risk mitigation and optimisation, including in relation to ability to transfer, by agreement, employer NIC liability. ❗️A charge can arise in many situations and it isn’t just quoted company shares that require an employer to operate payroll withholding. 🔬Don’t scope out share plan matters on buyer or vendor due diligence, instead take a good close look 👀 💡 If you’ve been operating a non-tax-advantaged share option plan then the recent changes to the tax-advantaged CSOP might be worth exploring to help optimise award efficiency. 🧨For any Senior Accounting Officers, how comfortable are you with your information flows HR-legal-finance-plan admin-payroll-tax authority, controls and processes and understanding of tax treatment?
