Related-party transactions - in any venture looking for external capital - MUST be disclosed upfront to the investors. If not in the initial pitch, at least when the financials are being discussed. The transaction may very-well be geniune / at arms-length. But it's the prerogative of the investors to decide if that's the case, not the founders. Also - any fund/network investing in a startup - this MUST be in your DD checklist with clear governance ruleset pre-written in the SHA.
