The panelists were amazing, bringing forth diverse perspectives that provided invaluable insights. Here are three key takeaways from the discussion: 1️⃣ ESG in M&A is about smart business management. 💼 The discussion highlighted that integrating ESG considerations into M&A strategies is not just a moral obligation but also a strategic business decision. By embracing ESG factors, companies can enhance their long-term sustainability and create value for stakeholders. It's about doing the smart thing for the bottom line. 2️⃣ Material ESG dimensions are key. 🎯 Panelists emphasized the importance of focusing on material ESG dimensions in M&A. Identifying and prioritizing the ESG aspects that have a significant impact on a company's performance and are important to stakeholders is crucial. 3️⃣ ESG in M&A presents opportunities, not just risks. 🤝💼 The panel discussion revealed that ESG considerations in M&A extend beyond risk management. While assessing and mitigating ESG risks is vital during due diligence, embracing ESG integration also brings opportunities. As in previous years, we partnered with Gibson Dunn to review the board evaluation practices for S&P 500 companies as disclosed in their proxy statements, conducting one of the largest surveys on the state of board evaluations in the U.S. Highlights from the 2023 report include:  *Top companies vary the way they conduct their annual board evaluations each year  *Only 5% of companies have senior management (beyond the CEO) provide feedback on the board  *Just 1 in 4 companies disclose changes made following the board evaluation Board evaluation can be a key opportunity to enhance board effectiveness and shareholder value—if it’s done right.
