The publicly traded German concert promoter and ticketing company CTS EVENTIM AG & Co. KGaA, Europe’s known ticketing service provider and the world’s second-largest, has entered into an option agreement with French media conglomerate Vivendi, listed on the Paris stock exchange, regarding the acquisition of Vivendi’s international ticketing and festival businesses. This agreement grants Vivendi the right to sell all shares of the companies comprising its ticketing and festival activities to the German company. CMS provided comprehensive legal counsel to CTS Eventim throughout the transaction, leveraging a multi-jurisdictional team of lawyers from offices in Germany, France, the UK, Switzerland, Portugal, the Netherlands, and Spain. In Spain, CMS’s role was led by Luis Miguel de Dios (pictured left) and Jorge Peris Hevia (pictured right), Partner and Senior Associate in the Corporate/M&A practice. 📣 On this important day, as our new board take it's place, we are launching the much anticipated document, "Safer Crowds, Safer Venues Good Practice for Crowd Management in UK Performance and Licensed Spaces" A true labour of love behind the scenes, we have successfully gathered over 50 industry authors, editors and collaborators from across the spectrum of Crowd Management professionals to work voluntarily to produce the draft. A big thank you to everybody who contributed their time, effort and expertise to make this project possible. 🙌 Together with Night Time Industries Association NTIA and LIVE (Live music Industry Venues and Entertainment), we are proud to present this document to the community free of charge. In recent years there have been several high-profile incidents which have resulted in loss of life or serious injury due to failings with operational crowd management. The purpose of this supporting document is to provide venue operators, organisers and their stakeholders with a general outline of what currently constitutes accepted good practice in terms of crowd management for performance spaces and licensed venues in the United Kingdom. The hoopla surrounding Live Nation/Ticketmaster’s business practices has raised interest in monopolistic practices affecting ticket prices. Since the company acquired Ticketmaster in 2010, Live Nation has set about building a business that controls nearly every layer of the live event lifecycle, from artist management to venue operations and ticketing, attaching numerous additional costs, such as “service fees” and “convenience fees”, to its ticketing platform along the way. While concerts constitute the bulk of the company’s revenue, they are far from its most profitable segment. Last year, the company reported just a 2% adjusted operating profit margin in its concerts division, while ticketing made a whopping 38%, and ads and sponsorships managed 62%. The concert division often relies on other parts of the business to help fund it, a lifeline it would lose if the DOJ does manage to split the company up.
