1031 DST vs. 721 UPREIT Here are 4 key differences… 1/ Structure 1031 DSTs are direct ownership investments in real estate via a trust structure, while 721 Exchanges start off as a DST then is later acquired by the REIT sponsor in exchange for REIT shares (not real estate anymore). 2/ Liquidity 721 Exchanges offer greater liquidity through the sponsor's REIT shares compared to the more illiquid nature of the DST structure. 3/ Diversification 721 Exchanges often provide more diversification due to the nature of a REIT holding multiple properties but 1031 DSTs can also invest in multiple portfolios but at a smaller scale. 4/ Tax Treatment Both vehicles allow you to defer current capital gains from real estate. Moving forward, 1031 DSTs allow you to continue to defer capital gains at the time of the next sale, however 721 Exchanges do not allow you to do subsequent 1031 exchanges. … Which is better? All depends on what you are looking to accomplish short-term with current exchange needs and subsequent ones.
