Recent putative class action complaints filed under #ERISA target a common feature of employer-sponsored health care plans – challenges to tobacco-user surcharges. Partners Michael Graham and Mike Lane cover this growing area of litigation in a new article. Many employers have enacted wellness programs as part of their health care benefit plans, and many have added tobacco-user surcharges. These new class action complaints target these tobacco surcharges as violations of ERISA’s fiduciary duty rules as well as discrimination rules under HIPAA. The Texas State Fair is in full swing, and we decided to bring a taste of the celebration to our Dallas office. 🎡 From corn dogs and funnel cakes to deep-fried mac 'n' cheese and Oreos (yes, you read that right), we went all out. Check out Chicago partner Nathan Viehl's insights on what entrepreneurs selling to private equity can expect after a rollover, including the transition away from being the boss and getting used to operating with leverage. For many entrepreneurs, the dream exit involves selling to a deep-pocketed private equity firm. These firms frequently encourage or require the current owners to "roll over" a portion of their equity into the newly acquired company. A rollover typically allows sellers to retain a percentage interest or reinvest their proceeds into a private equity platform in a tax-efficient manner. Thompson Coburn partner Thomas Rea, a former federal prosecutor, recently shared insights with Healthcare Risk Management on a new DOJ whistleblower program, noting how it could pose increased risks to health care organizations. While reducing fraud, waste, and abuse is commendable, he noted, the program might be seen as incentivizing individuals to report on activities that may not have traditionally fallen under federal jurisdiction.
