𝐈𝐧𝐟𝐨𝐫𝐭𝐚𝐫 𝐢𝐧𝐜𝐫𝐞𝐚𝐬𝐞𝐬 𝐢𝐭𝐬 𝐓𝐚𝐥𝐥𝐢𝐧𝐤 𝐨𝐰𝐧𝐞𝐫𝐬𝐡𝐢𝐩 𝐭𝐨 68.47% Infortar AS's public and voluntary takeover offer to Tallink Grupp's shareholders was accepted by 21.71% of Tallink's shareholders. Infortar will invest EUR 88.8 million to purchase Tallink shares, increasing its stake in Tallink to 68.47%, while Tallink will remain listed on the stock exchange. In early July, Infortar submitted a public and voluntary takeover offer to Tallink's shareholders. As part of the offer, shareholders decided to sell Infortar a total of 161,395,930 shares, representing 21.67% of all shares. Infortar is financing the transaction with its liquid funds, and the purchase price will be paid to the participating shareholders on 9 August of this year. Tallink's operational and financial indicators will be consolidated and reflected in Infortar's next quarterly results. With this public takeover offer, Infortar is implementing its strategy described in the initial public offering and listing prospectus, according to which the group's strategy in the marine shipping business segment is to increase its stake in Tallink if Tallink's share price on the stock exchange is favourable and regulatory requirements allow it. https://lnkd.in/dVdmRj4b Photo © Dmitry Sumin

Tietto's Directors have updated their recommendation regarding the takeover offer by Zhaojin Capital, and now recommend accepting the offer. The Board continues to believe the offer undervalued the company and was timed opportunistically. However, with Zhaojin now holding 42.51% of Tietto’s shares and the offer price increased to $0.68 per share, the Directors now unanimously urge shareholders to consider ACCEPTING into Zhaojin’s Offer, or selling their shares on-market if the prevailing market price is not materially different to the Offer price, without delay.   Read the full ASX Announcement here: https://lnkd.in/gSPajK7U

"VIIKII, I BOUGHT SOME SHARES FROM ONE COMPANY YEARS AGO. I DON'T KNOW WHAT HAPPENED TO THE COMPANY AGAIN." In September 2017, I bought 4,185 units of 7up shares at N 91 per unit. By January 2018, 7up was fully acquired by Affelka S.A., a foreign and highest shareholder in 7up before that time. This meant 7up was going to be delisted from the stock exchange market. Being that the market is regulated by SEC and NGX (this is why I don't subscribe to investing where there is no regulatory body), it was ensured that shareholders like myself were settled under an agreed scheme. We were to be paid off at N 125 per unit as a flat rate for everyone. This was publicized some time in February 2018. I was working in Onne, outside Port Harcourt at that time. My stockbroker told me it wasn't something they could do on my behalf, so I needed to make out time and go to the PH office of the registrar 7up was using in Mile 1 PH, to sign the required papers so they can pay me. One day in September 2018, I made the time and went there with my details, filled the forms and signed the papers. A week later I got my credit alert of N 523k. Why am I telling you this in detail? It's because some of you, and your parents, and your family members also bought shares from that 7up before it got delisted in 2018. But till now, 5 years after, you are not even aware that the company you are supposedly a shareholder in, is no longer listed in the Nigerian stock market. You don't even know you were entitled to collect your settlement money. So you haven't even collected your money till now. Yet una dey find money upandan. But you are busy telling everyone that cares to listen to you that buying shares doesn't pay... it's a scam...yen yen yen. Taah! Are you waiting for them to bring the form to your village house first? How can you own a company and not bother to know what's happening in that company? Or don't you know that when you buy shares in a company you have become a co-owner of the company? You need to know what's happening to your investments. Small Holdings 🎯 ASX Listing Rules 15.13, 15.13A and 15.13B relate to the sale of small holdings. This is often referred to as “unmarketable parcel sale facility”, “small shareholding sale facility” or “less than an marketable parcel sale facility”. The constitution of an ASX listed entity must allow the sale of these small holdings, which are below $500 at the record date for the offer. 📣 For shareholders holding less than $500 worth of shares at the record date (Small Shareholders), the practice is for the entity to send a form via the holders' preferred medium (email/post) where Small Shareholders are required to “opt out” of the small holding sale/buyback and send the form to the share registry by the date specified on the form. 💲 Sales of Small Shareholders' parcels are usually completed by an entity: 💠 appointing a broker to manage the process or 💠 conducting a minimum holding buyback pursuant to ASX Listing Rule 3.8A 📞  Zip Co Limited (ASX:ZIP) recently received investor feedback that its small shareholding sale facility wasn’t clear enough about the process and that Small Shareholders would have their shares sold if they did nothing. 📞 ASIC noted it has not observed any non-compliance but believes there is room for entities to more clearly articulate the action required by those identified as holding small shareholdings should they wish to retain their shares. Link to article on small shareholdings (Zip Co Limited): https://lnkd.in/geSYF_VA Lessons for listed entities 👨🏫         Contact your share registry and go through a comprehensive analysis of small shareholdings, including costs of establishing a sale facility and the reduction of ongoing costs in removal of small shareholdings (cost/benefit analysis). 📞     Clear communication in all messaging to investors and assistance with investor relations is critical. ✏        If conducting a minimum holding buyback, within 5 business days of the completion of the buyback, an Appendix 3H (Notice of Cessation of Securities) must be lodged with ASX and although not specifically noted in ASX Listing Rule 3.8A, a copy of the ASIC Form 484 with details of the cancellation are usually lodged with ASX. Lessons for investors 📣         If you have small shareholdings in listed entities, make sure you constantly check ASX listed entities announcements, email, mobile or postal notifications and take action when necessary.  ⛔        Understand that if you have a small shareholding and do nothing, assuming the company has complied with the ASX Listing Rules, its Constitution and the Corporations Act, this is a well understood tool available to ASX listed entities and there is no recourse once shares are sold or bought back.

Former FPT Securities CEO’s Mother Sells Millions of FTS Shares at the Peak A group of major shareholders has announced that it has completed the sale of a total of 3 million FPT Securities Joint Stock Company (FPTS) shares in the past 2 days, March 13 and 15, for portfolio restructuring purposes. At the closing price of FTS over the 2 trading sessions, the shareholders can earn about VND 190 billion. The shareholder group consists of 4 individuals, including noteworthy Ms. Nguyen Thi Thai Anh, who was a member of FPTS board of directors from 2019 to 2022. Thai Anh is also known as one of the early members of FPTS, contributing to the company since its early days. In the recent divestment, the majority of shares were sold by Ms. Nguyen Thi Minh, Thai Anh’s mother, with a volume of over 2.7 million shares. After the transactions, the shareholder group reduced its ownership to 14.2 million shares, equivalent to 6.62% of total capital in FPTS. In the market, FTS shares, after reaching a new peak on March 15, have slightly corrected and are currently trading around VND 60,500 per share. Compared to the beginning of the year, FTS’s stock price has increased by more than 35%. The corresponding market capitalization is about VND 13 trillion. On March 28, FPTS is expected to hold its annual general shareholders’ meeting 2024 in Hanoi. According to the meeting agenda, the company will present its business plan for 2024 to shareholders, targeting revenue and pre-tax profit of VND 845 billion and VND 420 billion respectively, down around 8% and 18% compared to the previous year. Prior to that, in the whole year of 2023, FPTS achieved pre-tax profit of nearly VND 542 billion, an increase of 23% and exceeded the target profit for the whole year of 2023 (VND 420 billion). With the above results, FPTS plans to propose to shareholders the distribution of the 2023 profit with a cash dividend rate of 5%, equivalent to over VND 107 billion. The implementation is expected to be in the second quarter of 2024. In addition, FPTS will also propose to shareholders a capital increase plan with a total of over 91 million new shares to be issued. This includes 86 million bonus shares to increase registered capital from equity capital for existing shareholders at a ratio of 10:4 and 5.5 million ESOP shares at a price of VND 10,000 per share. The implementation of both plans is expected to be in the second and third quarters of 2024 after approval by the State Securities Commission. If completed, FPTS’s registered capital is expected to increase from over VND 2.145 trillion to VND 3.059 trillion. Also in the program at the General Meeting, FPTS will propose to shareholders the removal of Board Members for the term 2023-2028 for Mr. Taro Ueno and the election of Mr. Kenji Nakanishi as a new member.
