Unlike the first wave of digital asset financing mostly through unregulated Initial Coin Offerings (ICOs), security tokens and their offering have relatively clear regulatory implications and application to the business community. The regulatory regime entails requirements related to licensing, risk monitoring and reporting for the issuers of tokens, their service providers (such as operators of token exchanges), as well as the token investors. Under existing regulatory frameworks, the creation, ownership and transfer of security tokens is generally regulated in a similar fashion as that of traditional securities. Accordingly, similar governance and regulatory considerations should be taken into account, including legal ownership, investor Know Your Customer (KYC) procedures & compliance, accounting, and investment due diligence.
