Michael Louis, Vice President, M&A Strategy at BIC has been appointed to the speaking faculty for the upcoming M&A Conference at the University of Chicago Gleacher Center, which is hosted by the Transaction Advisors Institute. The conversations that came out of our M&A panel event last week were refreshingly honest and struck a chord with everyone in the room. Louise (Lou) Higgins stated that everyone goes into a M&A with the best intentions. The reality though is that when performance and predefined strategies start to erode or deviate and the numbers aren’t adding up, the pressure mounts resulting in people and culture not being prioritised and trumped by the need for return on investment and fear of failure. Old metrics (like ROI) are familiar, and amplified by how much has already gone into the deal to ensure all commitments are met. One contributing factor is that Australian culture is more conflict avoidant than we recognise. We have a culture of “likability”. Not seeing the big picture to begin with, skills, capability, too much focus on the deal, not on the people who are executing the deal. In addition an audience question and the subsequent retort - how do we measure culture/ there is no place for it in the data room. We heard from Pierre de Villecourt on the VC side where it is clear that first and foremost the numbers have to stack up both through due diligence and through integration. In addition if we lean into a deal and we are having to absorb previous DE&I quotas it's not always helpful... The right people have to drive the outcomes being sought. While Michelle Price brought to our attention the Corporations Act, which is solely focused on acquisitions aspects of the deal and in doing so has no or very little accountability for post merger activities and in particular the effects on the Human asset. So how can we improve the people side of the equation and consequent value multiplier? Communication, vulnerability and matching the solution to the problem space. Putting the humans at the heart of the deal from the beginning and keeping them there. If things go south, how can businesses course correct before it’s too late? They need to call it early and take affirmative action rather than just retreating back into the numbers. What were your biggest takeaways?
