#Update JSW INFRASTRUCTURE LIMITED has agreed to acquire a 70.37% stake in BSE-listed Navkar Corporation - India for INR 1,012 crore, or INR 95.61 per share. This acquisition, through JSW Port Logistics Pvt. Ltd., will support JSW Infrastructure’s expansion into logistics and value-added services, enhancing its port business and last-mile connectivity. The deal is subject to regulatory approvals and conditions. The acquisition price of INR 95.61 per share is below Navkar Corporation - India's closing price of INR 113.55 on the National Stock Exchange and INR 113.50 on the Bombay Stock Exchange. This represents a premium of around 15.7% compared to the market closing price. Trilegal advised on the proposed initial public offering of equity shares “(IPO”) aggregating up to INR 40,000 million by JSW Cement Ltd (“JSW Cement”).    JSW Cement is the fastest-growing cement manufacturing company in India in terms of increase in installed grinding capacity and sales volume from Fiscal 2014 to Fiscal 2024.   The IPO comprises a fresh issue of equity shares and an offer for sale by the existing investors - State Bank of India, Apollo and Synergy Capital. 💥Acquisitions and Expansion Power JSW Infrastructure’s Growth 💫Despite a solid 24% year-on-year EBITDA growth shares of JSW Infrastructure Ltd declined 6% on Friday, due to concerns over a decline in net profit from a foreign exchange adjustment. 💫The company is expected to maintain growth momentum through increasing exports, rising transportation demand, and recent acquisitions. 💫In 1Q25, revenue surged by 20% driven by higher handling charges from non-captive customers. Moreover, the volume grew by  9% y/y, despite a planned shutdown at JSW Steel’s Dolvi plant. This was offset by a 48% growth in third-party cargo, increasing its share in total cargo to 50%. 💫Consensus estimates a decline in the profit after tax for FY25 and FY26 by 4% and 2%, respectively. 💫The management projects 10-12% volume growth in FY25, aiming to increase capacity to 250 million tonnes per annum (mtpa) by 2027 and 400 mtpa by 2030. Expansion plans include a greenfield port in Karnataka and berths at Tuticorin and JNPT. 💫Recent acquisitions include a liquid handling terminal in the UAE and a port in Maharashtra.
