With 20 years of experience in real estate debt and equity investments, Lesley has been involved in financing €2.4 billion worth of European real estate projects across all sectors. Sanna Gurevich-Weiß, COO and Fund Manager at Velo Capital, brings 17 years of experience in real estate and leveraged finance. After a successful stint as Head of Financing at Nrep, Urban Partners' real estate investment strategy Nrep, Sanna joined Velo Capital in 2022. Her expertise in complex deal execution is exemplified by overseeing transactions totaling approximately €1.2 billion. The last couple of months have seen some interesting private equity deals eventuate. Here are a few that really peaked my interest and are not super mainstream. Deal 1 - AZ NGA and Oaktree Capital Management, L.P. On 30 September it was announced that Oaktree Capital Management, L.P. had invested AUD $240m into AZ NGA to become their largest single shareholder. This investment valued the entity at AUD $690m. Oaktree Capital Management, L.P. acquired the stake from Azimut Group who will retain a 25% minority in the group with management and other key partner owners retaining the residual. Why this deal peaked my interest? It was widely known that AZ NGA was in discussions with TA Associates for a divestment of the group. This deal clearly fell over leaving opportunistic Oaktree Capital Management, L.P. who are traditionally known for their special situation investment (both equity and credit). So why would Oaktree Capital Management, L.P. investment into AZ NGA? In my view AZ NGA is the definition of a "special situation". This does not mean distressed but rather sitting outside of the normal. The financials for the group are quite strong with $200m+ revenue and $17m reported NPAT. As a platform AZ NGA is very appealing but what they need to grow is an investor who understands equity and debt. Enter Oaktree Capital Management, L.P. who is arguably one of the best special situation investors in the world. Combing a debt and equity strategy to accelerate the acquisition and integration activities of AZ NGA makes complete sense. Whilst this may seen a little left field I think it shows a really interesting view of the market and the opportunities which exist. I reckon Jordon Kruse, Matthew Wilson Byron Beath will combine nicely with Paul Barrett and Paul Brain. I would expect to see AZ NGA's activities increase substantially over the next 12 months. Deal 2 - Affirm Press and Simon & Schuster This deal is of interest to me for 2 key reasons. Firstly a significant joy in our family is reading children's books. This love affair with children's literature has been driven predominantly by my wife with the exception of Alison Lester's book's which were a massive part of my childhood. Secondly, it reveals that almost all industries are 'touched' by private equity or a industry roll up. This includes publishing! Simon & Schuster are owned by KKR. They have amassed a $1b publishing revenue empire through strategic acquisitions across the publishing spectrum. Whilst the details of the deal are not published it makes complete sense for Affirm Press to join Simon & Schuster. It does however remove another independent publishing house which will no doubt impact the publishing space. For my part I hope more people can read titles like "Sing me the Summer" by Jane Godwin and Alison Lester. #corporateadvisory #corporatelaw #acquisitions #privateequity

What I wish I knew when starting down the path of real estate development. I never expected to become a full-time capital raiser. Yet here I am, spending more time raising funds than actually developing the projects I’m truly passionate about. I know how to bring a project to life and have a strong pipeline of new opportunities ready to launch. But financing each one has always been challenge. While I’ve always found a way, it’s often come at the expense of time and energy that could have been better spent on the work I love. In the past, I’ve been resourceful in securing funding—whether it meant breaking a project into phases or utilizing a ground lease structure, I did whatever it took. Recent headlines have been focused on the challenging market for private equity and venture capital funds. However, per PitchBook, the trend toward increased investor allocations to those vehicles continues. From the article: "If you look at the amount of funds that either we are recommending for advisers or those that are ultimately garnering the most allocation dollars (on GLASfunds’ platform), private equity still is the major asset class. And that would include PE- and VC-focused secondary funds. More than half of all commitments made by advisers on our platform are to PE and VC strategies." - James Ouderkirk at GLASfunds. The truth is that companies continue to remain private longer, pushing off an IPO to much later in the maturity stage (if ever). Therefore, if investors want access to growth-stage returns, they must continue to allocate significant capital to both private equity and venture capital. Don't expect this trend to reverse any time soon.
