Most companies know that the legal advice they receive from their lawyers is privileged. However, they should also be aware that in a dispute between the company and a shareholder, their legal advice may not be privileged and could be disclosed. The “general rule” is that where a company gets legal advice and pays for it out of the company’s funds, a shareholder has a right to see it. However, recent cases have cast doubt on this principle, particularly due to the realities of modern companies. It is likely the Supreme Court will reformulate the rule. In the meantime, Directors should be cautious and consider their position at the time advice is given. The subject of legal privilege is one that always makes me slightly nervous! In this update from Hogan Lovells, a recent case is examined on the application of legal privilege in cases involving a company and its shareholders. The 'shareholder principle' generally prevents a company from asserting legal privilege to refuse disclosure of documents to its shareholders. Like much of company case law, this principle arises from a somewhat archaic decision that pre-dates our current understanding of the relationship between a company and its shareholders and was certainly made long before CREST accounts were even dreamed of!
