⚖️ Contracting by Correspondence - Is Purchase Order an Offer or Acceptance? In a recent Australian case of “Samco Steel & Precast Pty Ltd v. Roxton Commercial Builders Pty Ltd [2024] VCC 783” the County Court of Victoria was to decide when a contract is made in the course of an ongoing series of communications between the parties. In this case, the Contractor (Samco) sent its quotations for installing structural steel and concrete panels to the Employer (Roxton) and in response, Roxton sent Samco a purchase order. There was a significant difference between the Contractor’s terms in its quotation and the standard terms of work in the Employer’s purchase order. Therefore, it was important to find out when the contract was concluded. Samco argued that the contract was formed by way of an offer from Samco in its quotation and the acceptance by Roxton when it issued a purchase order. Roxton argued that the issue of the purchase order was a “counteroffer” which was accepted by Samco by its conduct in carrying out the works. The Court held that in determining when a contract is made in the course of ongoing communications the communications must be considered as a whole. The court found that the purchase orders were not expressed or framed as a counteroffer. The emails accompanying the purchase orders made clear that the parties regarded the process of entering into the contract as complete and intended for the works to commence on that basis. The wording of those emails was inconsistent with a suggestion that the parties were still negotiating, including because the emails did not indicate that the purchase orders were counter offers or that Samco would need to ‘accept’ the purchase order to conclude the agreement. As a result, the terms of the contracts were those contained in Samco’s quotations, and Roxton’s standard contract conditions were not incorporated into the contracts. #constructionlaw #contractlaw #Australianlaw https://lnkd.in/dd5QzZzK
