The US$5.1bn acquisition of Enstar by a Sixth Street-led consortium announced last month has sparked a sell-off in the insurer's retail-focused perpetual preferred shares amid concerns that an eventual delisting of the securities would make them difficult to trade. Latest from me at IFR. Enstar's preferred stock does not provide the same investor protections common to plain-vanilla corporate bonds, like change-of-control provisions. As such, investors who want to hold on to the securities after the acquisition is completed have to accept that the preferred stock will be delisted, an action that can be disastrous for liquidity, according to market participants. Similar moves by other insurers have received blowback from investors before. Holders of AmTrust’s perpetual preferred stock filed a class-action lawsuit after the US insurer delisted the shares as part of a go-private deal in 2019, which culminated three years later in a US$13m settlement.
