In the aftermath of the ECJ's judgment in Illumina/GRAIL, the European Commission confirms that: - under the now defunct #Article22 referral policy, they examined 100 below-threshold mergers over the last 3 years. - 45% of those cases were in #pharma and #biotech, 19% in #digitalmarkets. - In #pharma, they see a trend for the acquisitions of targets that are highly valued despite not yet generating any turnover. Between 2023 and 2024, they identified 14 transactions with a reported value of more than 4 billion dollars that did not meet notification thresholds (because of the target's low turnover); - In #digital and #tech, high value of transactions alone is not related to competition concerns. On the contrary, the value of mergers that were referred to the EC by Member States that did raise concerns "was often less than 1 billion euros".

Academics have examined and clarified the issue a lot. USD M&A transaction and a related IP license contract, both under Unidroit, in 2022 and a 15 billion USD Arbitral award in 2020/22 (preliminary/final award). The commentary reflects hundreds of additional practical examples (like BREXIT and Corona clauses under Unidroit). 30 years after their initial release, the time of the Unidroit Principles has come. They are best chosen in combination with an arbitration clause. 😀
