Article 1: As per the latest SEBI amendment, The BRSR would be applicable to how many listed companies ( by market capitalization ) for the FY 22-23?

Recently, we shared a trivia question on Sustainability101 LinkedIn Page asking:

As per the latest SEBI amendment, The BRSR would be applicable to how many listed companies ( by market capitalization ) for the FY 22-23?

So, here is the explanation for this much-disputed question!

500, 1000, or 2000?

After the National Voluntary Guidelines on Social, Environmental and Economic Responsibilities of Business (NVGs) released by the Ministry of Corporate Affairs (MCA) in 2011, the Securities and Exchange Board of India (SEBI) made it mandatory for the top listed companies to disclose about non-financial data pertaining to environmental and social responsibilities through Business Responsibility Report (BRR) that was in line with the principles of the NVGs.

The requirement was applicable for the top 100 listed entities based on market capitalisation at BSE and NSE as from March 31, 2012, and this was to be done as part of the Annual Reports that they publish for the stakeholders.

As per the amendment to Regulation 34 (2) (f) of LODR Regulations vide Gazette notification no. SEBI/LAD NRO/GN/2021/22 dated May 05, 2021, SEBI has introduced new reporting requirements on ESG parameters called the ‘Business Responsibility and Sustainability Report (BRSR)’. The format for BRSR is accompanied with a guidance note so as to enable the entities to interpret the scope of Disclosures.

BRSR is more a comprehensive disclosure framework than BRR.

As compliance is mandatory from FY 2022–23, it is imperative for companies to prepare themselves for the change.

BRSR is an effective compliance and communication tool for a company’s non-financial disclosures and is the next step in mandatory ESG reporting in India.
