Koutalidis Law Firm advised Alpha Services and Holdings S.A. in relation to its successful issuance of €300,000,000 Fixed Rate Reset Additional Tier 1 Perpetual Notes, with a yield of 7.5%. The issuance of the Notes, which are listed on the Luxembourg Stock Exchange – EuroMTF Market, received exceptional demand from 250 investors approaching Euro 2.9 billion and was oversubscribed 9.5 times the initial target. It is a testament to the Group’s ability to benefit from the favourable market conditions, optimizing its capital structure. Koutalidis Law Firm has advised the Hellenic Financial Stability Fund (HFSF) on the landmark merger and investment agreement for the corporate transformation of Attica Bank, through its merger with Pancreta Bank, and the further investment of the shareholders in the share capital of the new combined bank. The investment will support the implementation of the business plan of the new bank and will cover the additional capital needs that will arise from the inclusion of non-performing exposure portfolios of the two banks in the state guarantee program “Hercules III”. The investment of the parties in the new bank, subject to the merger completion, shall amount to €675.10 million in cash, out of which €475.10 million will be paid by HFSF and €200 million by Thrivest and will be made through a share capital increase in the new bank, with a right of preference in favor of old shareholders. In addition, warrants will be issued in favor of the shareholders who will participate in the increase of the share capital. Special recognition goes to our managing partner Nikos Koritsas who has led this complex transaction since 2021.
