SECOND research paper by the INSOL India Academic Committee, titled "Moving to a Statutory Framework for Cross-Border Insolvency in India: A Bridge Too Far?", is co-authored by Debanshu Mukherjee (Chair, INSOL India Academic Committee and Co-founder, Vidhi Centre for Legal Policy) and aishwarya satija (Insolvency Research Fellow, Shardul Amarchand Mangaldas & Co), with the Vidhi Centre for Legal Policy serving as a knowledge partner. This paper explores the question of whether India should adopt a statutory framework for cross-border insolvency, tracing the global evolution of cross-border insolvency law and assessing the potential implications of adopting—or not adopting—the UNCITRAL Model Law in India. Historically, insolvency law regimes were limited to governing debtors and creditors within their respective national jurisdictions. But when the creditors, assets, or operations of a distressed business are spread across the globe, it may become subject to multiple insolvency proceedings in countries with distinct (and often conflicting) insolvency laws. The complexity of the questions that arise in the insolvency proceedings of such businesses has made issues relating to cross-border insolvency a crucial part of global debates on insolvency regulation. Though efforts to harmonize the response to such problems at a global level have led to international consensus on several issues (as reflected in the UNCITRAL Model Law on Cross-Border Insolvency), countries continue to differ significantly in their approaches to cross-border insolvency. In theory, a formal regime for cross-border insolvency fits on top of a well-functioning domestic insolvency regime. Having reformed its domestic insolvency system comprehensively (both in theory and practice), India has not adopted the Model Law yet. However, the law and practice on cross-border insolvency continue to develop despite this. Have we now reached an inflection point, wherein formally adopting the Model Law might be necessary for completing the reform process that started a decade ago in 2014 when the Bankruptcy Law Reform Committee was set up? The Reserve Bank of India (RBI) Governor recently emphasised leveraging tech innovation to reduce the cost and time for cross-border payments, especially international remittances. With the United Nations SDGs aiming to reduce the global average cost of sending $200 to less than 3% cent by 2030 (currently ~6%), reducing friction in cross-border payments is crucial!
