What in the world is a term sheet? Are you bewildered by terms you “should” know when raising? The Unlock Capital 2024 National Cohort participated in its sixth Learning Module on Growth Capital, which defined some key concepts for entrepreneurs to consider.💡 Thank you to Alan Bernstein, Managing Director at the Community Development Venture Capital Alliance (CDVCA) for lending your expertise and demystifying this part of the fundraising process! Some key concepts Alan broke down for the National Cohort included: 🔐 Share dilution: occurs when new shares of stock are issued so the existing shareholders own a smaller percentage of the company. 💰 Convertible note term sheet: usually bridge financing to fund a company until it raises a larger round of selling equity. It assumes a later capital raise, which the noteholders will convert into equity. 💡Liquidation preference: a misleading name because it usually has nothing to do with what happens upon a company's liquidation. Instead, it is a mechanism to determine which shareholders get priority in receiving proceeds upon the company's sale. ✅ And so much more! During the module, Mark Wilson, CDVCA’s Entrepreneur in Residence, also emphasized the importance of proper representation when entering the negotiation process. “It will help you be informed and lend some credibility to you in negotiating with the person you’re investing with,” he said.
