The Economic Crime and Corporate Transparency Act 2023 introduces a new offence of failure to prevent fraud, which comes into force on 1 September 2025. This marks a significant shift in corporate criminal liability, as it imposes responsibility on organisations for fraud committed by an associated person, regardless of whether senior management were aware or involved. In an important decision regarding the Insurance Act 2015, the Court of Appeal has reversed the High Court judgment in Scotbeef Limited v (1) D&S Storage Limited (In Liquidation) and (2) Lonham Group Ltd [2024] EWHC 341 (TCC). This is the first Court of Appeal judgment dealing with aspects of the Insurance Act 2015: the proper categorisation of representations and warranties, and the application of the transparency requirements.
