📌 Corporate sustainability and supply chains: a new compliance paradigm The Court of Milan is setting a new precedent in corporate compliance, taking action against companies that fail to properly monitor their supply chains. Recent rulings have led to the appointment of management receivers with broad oversight powers—even in cases where companies were not directly under investigation. This signals a major shift: businesses are now expected to take proactive measures to prevent risks linked to supplier misconduct. The White-Collar Crime Italian Team explore the implications of these rulings and discuss how to navigate this changing legal landscape. We advised Shell on the completion of the sale of its Nigerian onshore subsidiary The Shell Petroleum Development Company of Nigeria Limited (SPDC) to Renaissance Africa Energy, a consortium of five companies comprising four exploration and production companies based in Nigeria and an international Energy group. The completion is in respect of the Share Purchase Agreement that was signed in January 2024. The divestment of SPDC aligns with Shell’s intent to simplify its presence in Nigeria through an exit of onshore oil production in the Niger Delta and a focus of future disciplined investment in its Deepwater and Integrated Gas positions. Our team: Olamide Oladosu, Keith Hauck, Will Martin, Jingyuan Julia Li, Samantha Clare Francis Goh, Calista Annika Halim. Read more here: https://okt.to/xTDGaY

Antitrust authorities in the US, UK and EU are signalling changes in their approaches to clearing mergers, which could lead to some deals having better prospects of clearance. Agencies may be prepared to give more weight to pro-competitive efficiencies and supply chain resilience considerations, and be more open to a wider range of remedies than in the past. In our first Perspectives Series webinar of 2025, Clifford Chance partners Philipp Girardet, Leigh Oliver, Michael Grenfell and Bruce Embley will discuss these changes and what they mean for your deal planning.
