Gambit Corporate Finance LLP has supported Premier Forest Products Ltd on its acquisition of Bitus UK from Swedish company, Bergs Timber. Bitus UK – formerly known in the trade as Continental Wood Products (CWP) – is an importer and bulk distributor of timber, panels and garden products serving industrial manufacturing, furniture-making, construction and merchanting sectors. Premier Forest Products will take on Bitus UK’s warehousing and distribution activities at the Baltic distribution port-side facility based in Creeksea, Essex. Premier Forest Products has also taken on the Bitus UK sales office in Cirencester, where all members of staff have been retained. It is the second transaction Gambit has advised Premier Forest Products on in 2024, and the seventh transaction in the past three years. Established in 1988 and based in Westbury, Wiltshire, Stairway Joinery designs and manufactures bespoke staircases for residential and commercial buildings. Gambit has advised Premier Forest Products on its M&A strategy for a number of years and it highlights the importance of acquisitions as a part of its strategic growth plan. Positive insights from Pitchbook’s LCD report: “European Credit Markets Quarterly Wrap”. - Total European leveraged loan activity reached €157 billion in 2024 to date, this is the highest total since 2014 and exceeds the full year value for 2021. - The total value of new loans issued (excluding repricings and extensions) reached €81 billion in 2024 to date, the largest total since 2021. - Green shoots for M&A markets - 40% of European total loan activity in 2024 to date has been earmarked for M&A. - The direct lending market is now an established part of the infrastructure for borrowers, as the number of direct lending deals outnumbered the broadly syndicated loan market in Q3 2024. - Dividend recaps are on the rise, with some notable transactions. - Repricing volumes in 2024 to date reached €59 billion, the highest level since 2017. - Repricing transactions have reduced margins by 65 basis points on average in 2024. So whilst challenges remain, there are clear signs that credit appetite is returning and an array of financing options are available. Interesting insights from Investment News’ report: “Debt markets see strongest month in more than two decades”. Whilst the coverage of the report is largely underpinned by the upper end of the US market, as history tells us, what happens ‘across the pond’ in the upper mid-market tends to trickle down to the UK mid-market. Some key takeaways: - In total, over $600 billion of debt was raised by more than 1,226 issuers in September, this is the strongest month for debt issuance in over 20 years. - In particular, ‘blue-chip’ corporates borrowed over $170 billion in September, this is the busiest month on record for large institutional issuers. - $128 billion of leveraged loans were launched in September, exceeding $100 billion for the first time. So whilst challenges remain and there is no doubt a timing factor ahead of US elections, there are clear signs that credit appetite is returning and an array of financing options are available.
