    Transitioning to a 𝗡𝗼𝗻-𝗘𝘅𝗲𝗰𝘂𝘁𝗶𝘃𝗲 𝗗𝗶𝗿𝗲𝗰𝘁𝗼𝗿 role can be a powerful career move for 𝗚𝗲𝗻𝗲𝗿𝗮𝗹 𝗖𝗼𝘂𝗻𝘀𝗲𝗹. Effective GCs are inherently strategic thinkers, which makes stepping into a governance-focused role a natural evolution. With legal acumen, business insights, and dedication to ethical standards, GCs can bring a unique and valuable perspective to any corporate board. Breaking into that first NED role can be challenging, as companies often seek board-level experience - creating a catch-22 situation. Gaining initial exposure through roles in not-for-profit organisations or as a school governor can be a strategic starting point for those without prior NED experience.     Before we undertake searches at Marsden, our private practice team spends a lot of time researching and analysing the talent pools in all of the major global legal centres. When we look top tier transactional lawyers who commenced their legal careers in 2019 or earlier, there are very few with just one firm on their CV. What does that tell us? 1. The people who haven't yet changed firm at this level have something pretty good going on with their current firm. They are not likely to move unless they have a reason to – such as progression being blocked, or a similar ‘push factor’.     2. Firms targeting first-time movers need to approach them in a targeted,  bespoke way, and with a very appealing and well thought through proposition.     3. Law firms and hiring partners need to be much more open to recruiting lawyers who have moved firms before. As global markets heat up and the demand for top-tier transactional lawyers increases, talent pools will shrink. Excluding lawyers from interview shortlists on the basis that they have moved firms could prove counter-productive.     4. It's more usual that younger lawyers don't subscribe to the ‘one firm for life’ mantra. In line with other industries, legal careers will be more fluid in the future.     The US market is starting to open up more to overseas lawyers, and those interested in working there are likely to hear us talking about the 𝗖𝗿𝗮𝘃𝗮𝘁𝗵 𝘀𝗰𝗮𝗹𝗲. 𝘚𝘰 𝘸𝘩𝘢𝘵 𝘪𝘴 𝘪𝘵, 𝘢𝘯𝘥 𝘸𝘩𝘦𝘳𝘦 𝘥𝘪𝘥 𝘪𝘵 𝘤𝘰𝘮𝘦 𝘧𝘳𝘰𝘮? Cravath, Swaine & Moore LLP used to lead the way with salary reviews across the top tier firms, and other top tier firms then followed suit. The name has stuck, despite the fact that in recent years Milbank LLP has often been the first firm to review salaries upwards and Davis Polk & Wardwell LLP has also played a part in leading the market. Salaries at firms that pay on a Cravath scale are lockstep, and your salary is determined by reference to your class year (i.e. PQE or PAE). Typically a discount or "haircut" is given to Australian/international lawyers in moving to the US; two years is the norm, although it can be more for senior lawyers when moving to a US jurisdiction. For example, an Australian lawyer with four years PAE will typically join a New York firm as a second year. Some firms outside New York also pay on a Cravath scale, but it very much depends on the firm and the office.
