    In our next installment of Ascen's Staffing Industry Spotlight, we spoke with Brian Kennedy, M&A Advisor at R.A. Cohen. Brian shares insights on staffing M&A. If you plan to sell your staffing agency one day, this episode is a can't-miss. Here are some big takeaways from Brian's talk: 1. Risk Pays Differently: Cash deals in staffing are rare – all cash means a discount. Risk on the back end through a note or earn-out? Higher value. 2. Bigger Doesn’t Always Mean Better: Client concentration doesn’t kill valuation, but it’ll change how the deal is structured. Think earn-outs, not cash. 3. Private Equity Goes Low: Even small EBITDA staffing firms are on PE’s radar. Why? They’re looking for niche add-ons, not just big fish. 4. Key-person Discount: Potential buyers see it as a future cost, so build a team that can survive without you. 5. Multiples are Multipliers of Niche: IT vs. healthcare vs. industrial and how you sell (MSP vs direct) – different staff niches mean radically different multiples. 6. Earn-Outs Aren't Evil: Structure them around gross margins – they’re more predictable and palatable. Enjoy!
