The two talked at length about Elsberg’s early standup trial experience and his advice for young lawyers interested in the trial path. Having opened the doors at Elsberg Baker & Maruri a little over 7 months ago, Elsberg spoke about the firm’s quick ramp to success. “We’re very fortunate that, right out of the gate, major clients that could hire any law firm in the nation have entrusted us with their most important trials,” he said. On October 8, 2024, Bloomberg Law reported on Delaware’s highest court hearing arguments related to the enforcement of forfeiture pacts. The court’s decision will impact what happens with deferred compensation and non-compete agreements. Yesterday, Vice Chancellor Zurn dismissed Barry Diller from the stockholder litigation challenging the fairness of the separation of IAC and Match. 𝘚𝘦𝘦 𝘐𝘯 𝘳𝘦 𝘔𝘢𝘵𝘤𝘩 𝘎𝘳𝘱., 𝘐𝘯𝘤. 𝘋𝘦𝘳𝘪𝘷𝘢𝘵𝘪𝘷𝘦 𝘓𝘪𝘵𝘪𝘨., C.A. No. 2020-0505-MTZ (Del. Ch. Oct. 2, 2024). The challenged transaction is a reverse spin-off in which Match, a partially public company, was separated from its controller public company, IAC, and the unaffiliated stockholders became stockholders in an independent and widely held public company.
