Partner and Head of Government Investigations and Regulatory Enforcement - Hilgers Graben | Former Assistant Regional Director – SEC Division of Enforcement
Some interesting talk over the last few days about (1) the #SEC dropping various in-house 102(e) proceedings against auditors that previously sought traditional bars and, in some cases, monetary relief; and (2) the SEC potentially shifting these types of proceedings to district courts going forward. In light of the announcement this morning about a new SEC enforcement action filed in SDNY against #PCAOB registered accounting firm Olayinka Oyebola & Co., one quick-hit thought from a guy with a faded accounting degree in my office: If the SEC were not able to pursue in-house administrative proceedings against accountants/auditors in light of #Jarkesy (or for any other constitutional reason for that matter), there has been a major question about the future of SEC policing in this space: how can the SEC obtain similar relief in district court proceedings against accountants/auditors to that set forth in the SEC's Rules of Practice, which govern the SEC's in-house proceedings and give the SEC authority to suspend or bar a person from the privilege of appearing or practicing before the Commission? The Commissions' answer? Seek a "conduct-based injunction" whereby the agency requests a court order that prohibits certain specific conduct beyond the "don't break the law anymore" obey-the-law injunction typically seen in SEC proceedings. This is the exact approach taken by the agency in the Olayinka action. On page 37 of the complaint, Section III, we can the SEC including the practical effects of a 102(e) bar against an auditor but framed as a conduct-based injunction. While the Prager Metis settled matter from a few weeks ago deserves headlines, I am more intrigued by this contested litigation. Something for the defense bar to monitor going forward...
