TC’s Corporate & Securities team hosted our Summer Associates at Fairmount Park Live Horse Racing last week in Collinsville, Illinois for an exciting day at the races! The group kicked things off with a delicious lunch at the Black Stallion restaurant, offering stunning views of the racetrack. The highlight of the day was watching the horse races, even with the challenging "Sloppy" track conditions. Adding to the excitement, one of the racing horses is co-owned by our client Paul Martin of Perficient! It was a memorable day all around.

The Corporate Transparency Act requires certain entities to report information about themselves and their beneficial owners, including a taxpayer ID number. But one question was: If a single-member LLC or other disregarded entity did not already have a TIN, would it need to get one just for making a BOIR filing? On July 24, FinCEN clarified the type of tax ID number that should be reported by an entity that is disregarded for U.S. tax purposes.
