NY Senate Bill 8059 was signed on 3/1/2024 to amend the limited liability company beneficial owner disclosure requirements recently enacted by Senate Bill 995 (2023). The new law expands the reporting requirements to include reporting of applicants and other requirements. On March 11th, the Justice Department filed a Notice of Appeal in response to the declaratory judgment issued by the federal district court in the Northern District of Alabama, Northeastern Division on March 1st. The judgment concluded that the Corporate Transparency Act (CTA) exceeds the Constitution’s limits on Congress’s power. However, FinCEN will continue to implement the CTA as required by Congress while complying with the court’s order. Important New Ruling Regarding the Corporate Transparency Act: On March 1, 2024, a U.S. District Judge in Alabama issued a judgment declaring that the Corporate Transparency Act (CTA) is unconstitutional because it exceeds the Constitution’s limits on Congress’ power. Further, FinCEN is permanently enjoined from enforcing the CTA against the plaintiffs (National Small Business Association “NSBA”) in that case. It should be noted that the ruling does not apply to business owners who are not affiliated with the NSBA. The Treasury department retains the freedom to carry on with the implementation of the CTA and enforce it against other parties at this time. It is expected that the Treasury department will file an appeal against the ruling. As previously stated, the court’s order specifically prohibits enforcement against the NSBA plaintiffs only.
