The Chief Legal Officer (CLO) reporting directly to the Group CEO, will be responsible for shaping the legal framework of a diverse and dynamic organization operating on a global scale. The CLO will play a pivotal role in overseeing legal strategy and oversight, international compliance, risk management, contract negotiations, intellectual property protection, and dispute resolution and litigation management globally.

Essential Functions and Responsibilities include the following:

  • Manage and resolve legal disputes and litigation matters across multiple jurisdictions, including coordinating with external counsel and representing the company's interests in legal proceedings.
  • Develop and execute comprehensive legal strategies to support the company's global business objectives, ensuring alignment with regulatory requirements and corporate governance standards across all jurisdictions.
  • Ensure compliance with legal and regulatory requirements in multiple continents where the company operates, including laws related to corporate governance, data privacy, employment, intellectual property, and industry-specific regulations.
  • Develop and implement strategies to protect the company's intellectual property rights globally, including trademarks, patents, copyrights, and trade secrets, and manage enforcement actions when necessary.
  • Manage and resolve legal disputes and litigation matters across multiple jurisdictions, including coordinating with external counsel and representing the company's interests in legal proceedings.
  • Lead legal due diligence and provide guidance on mergers and acquisitions, joint ventures, strategic partnerships, and other cross-border transactions, ensuring legal compliance and risk mitigation.
  • Build and maintain relationships with government officials, regulatory agencies, industry associations, and other stakeholders worldwide, and advocate for the company's interests on legislative and regulatory matters.
  • Establish and oversee ethics and compliance programs to promote a culture of integrity, transparency, and ethical conduct throughout the organization, providing training and guidance to employees as needed.
  • Provide legal support and guidance for international expansion initiatives, including market entry strategies, regulatory compliance, and establishment of legal entities and partnerships.
  • Lead negotiations of complex commercial agreements, partnerships, mergers and acquisitions, and other transactions, and oversee contract management processes to ensure compliance and mitigate legal risks.
  • Other duties as assigned


Additional Job Requirements

  • 20% travel required both U.S. domestically and international


Supervisory Responsibilities

Directly supervises employees in the Legal department. Carries out Supervisory responsibilities in accordance with the organization’s policies and applicable laws. Responsibilities include interviewing, selecting, hiring, and training employees, planning, assigning and directing work; appraising performance, rewarding and disciplining employees, addressing complaints and resolving problems. For Exempt Managers: Managers that carry out these responsibilities for two or more employees will have significant input in hiring and termination decisions.

Qualifications

Education & Experience

  • Bachelor’s degree (BS/BA) from four-year college or university and 10+ years’ related experience and/or training; or equivalent combination of education and experience
  • Juris Doctor (JD) degree from an accredited law school in the United States, Germany, or the United Kingdom; admission to the bar in at least one jurisdiction required. Foreign bar admission is a plus.
  • Minimum of 10 years of experience practicing law, with a focus on corporate, securities, and international law, preferably in a global business environment.
  • Experience executing on and managing litigation processes in employment law, contract law, or securities law.
  • Deep understanding of legal and regulatory issues impacting global businesses, including intellectual property, data privacy, antitrust, and compliance.
  • Experience advising on mergers and acquisitions, joint ventures, and other strategic transactions preferred.
  • Experience advising boards of directors and board committees on legal matters, corporate governance best practices, fiduciary duties, and board composition and effectiveness.

  • Significant confidence in a court room setting.
  • Strong negotiation, communication, and interpersonal skills, with the ability to build relationships and collaborate effectively with internal and external stakeholders across different cultures and geographies.
  • Ability to thrive in a fast-paced, dynamic environment and effectively manage competing priorities and deadlines.
  • Strong executive presence and ability to interact confidently and effectively with senior executives, board members, investors, regulators, and other external stakeholders, representing the company's legal interests with credibility and authority.
  • Proficiency in crisis communication and media relations, including the ability to develop and execute communication strategies to manage reputational risks and mitigate the impact of legal issues on the company's brand.


Compensation

In compliance with Colorado’s Equal Pay for Equal Work Act, the total compensation for this role is $225,000 - 350,000 per year, however, Vita Inclinata Technologies considers several factors when extending an offer, including but not limited to, the role and associated responsibilities, a candidate’s work experience, education/training, and key skills.
