We are at the forefront of leveraging AI for social good through initiatives like the Valor-Guard Initiative, which is an AI-driven suicide prevention program, and HatsApp, a mobile app for veteran resources.
Role Description:
This is a remote volunteer role as a Corporate Secretary for HATSOFF. As a Corporate Secretary, you will be responsible for performing administrative tasks, maintaining records, and supporting the executive leadership team. This role entails managing documentation, scheduling meetings, taking minutes, and assisting with various operational and organizational tasks remotely.
Key Responsibilities:
Prepare, distribute, and maintain records of Board meeting agendas, minutes, and resolutions.
Ensure the organization’s records remain in compliance with all relevant legal and regulatory requirements.
Maintain up-to-date records of all organizational policies, procedures, and documentation.
Manage the organization’s records and archives, ensuring confidentiality and security.
Assist with the preparation and filing of statutory documents and annual reports.
Coordinate and manage logistics for Board meetings, including scheduling, venue arrangements, and catering.
Facilitate effective information flow within the Board and between the Board and management.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Qualifications:
Bachelor’s degree in Business Administration, Law, or a related field. Master’s degree or professional certification (e.g., Chartered Governance Professional) preferred.
Minimum of 5 years of experience in a corporate secretary or similar role, preferably in a nonprofit organization.
Thorough knowledge of corporate governance and compliance regulations.
Excellent organizational, communication, and interpersonal skills.
Ability to handle sensitive and confidential information with discretion.
Strong attention to detail and problem-solving skills.
Proficiency in Microsoft Office Suite and board management software.
