Role Description

We are seeking an experienced and strategic Corporate Counsel to play a key role in providing legal counsel and support on a wide range of corporate matters, including corporate governance, contract negotiations, regulatory compliance, and strategic transactions.


The position is part-time (~24hrs/week), hybrid office-based with limited travel and requires excellent communication, leadership, negotiation, teamwork and writing skills, attention to detail, the ability to manage and flex with multiple needs and schedules, and the drive to meet co-worker and client needs.


Key Responsibilities

  • Review, draft, and negotiate a variety of corporate contracts and agreements, including NDAs, MSAs, subconsultant, employment, leases, and others.
  • Ensure all contracts comply with company policies, legal requirements, and industry standards.
  • Advise HR and senior management on corporate governance matters, corporate policies, and compliance with corporate laws and regulations.
  • Assist in the preparation of corporate governance documents and policy charters.
  • Monitor and ensure compliance with applicable laws, regulations, and industry standards affecting the company's operations.
  • Develop and implement compliance policies and procedures to mitigate legal and regulatory risks.
  • Provide legal support and advice on strategic initiatives, partnerships, and other corporate transactions.
  • Assess legal risks and opportunities associated with strategic initiatives and propose solutions to achieve business objectives.


Qualifications

  • Ten years of experience practicing law with a focus on contracts, commercial transactions, and corporate governance.
  • Strong understanding of contract law and corporate law principles and regulations.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Exceptional communication and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
  • Ability to manage multiple projects simultaneously and work independently in a fast-paced environment.
  • Proficiency in legal research, contract drafting, and negotiation.
  • Juris Doctor (J.D.) degree from an accredited law school and active license to practice law in the state of Colorado.
