The role will (1) provide general advice and counsel, early stage transaction support, due diligence review, transaction execution, outside counsel management, Sector M&A support and relevant business support/adjacencies, (2) work collaboratively with the Sector General Counsels and their legal teams to support Sector-driven projects and (3) serve with the M&A Legal Team as the “Center of Excellence” (COE) for M&A/related transactions Legal support for PepsiCo. This position is based out of our Headquarters in Purchase, NY.

The role will (1) provide general advice and counsel, early stage transaction support, due diligence review, transaction execution, outside counsel management, Sector M&A support and relevant business support/adjacencies, (2) work collaboratively with the Sector General Counsels and their legal teams to support Sector-driven projects and (3) serve with the M&A Legal Team as the “Center of Excellence” (COE) for M&A/related transactions Legal support for PepsiCo. This position is based out of our Headquarters in Purchase, NY.
Responsibilities
- Provide advice and counsel, technical expertise and strategic leadership on M&A and other transactions and issues for assigned BU/Sector portfolio(s)
- Negotiate and draft documents for global transactions, including mergers, acquisitions, divestitures, joint ventures, fund investments, minority/venturing investments and related agreements and other transactions
- Manage overall legal support for complex transactions (including internal and external counsel) from inception to execution and ensure transactions are structured appropriately, including with respect to applicable PEP policies (e.g., JV Governance Guidelines)
- Provide support to M&A team and Sector General Counsels and lawyers working on M&A and related matters, including coordinating with other members of the Corporate Legal team regarding U.S. securities laws compliance and corporate governance issues as well as with other Corporate Functions (e.g., Treasury, Tax, Control)
- Drive M&A COE legal agenda based on Corporate M&A priorities and related disciplines
- Develop and harmonize standard processes and templates; create, improve and institutionalize knowledge base for M&A Legal and related support
- Develop, harmonize and deliver legal education to business colleagues (e.g., antitrust, contract negotiation/drafting, etc.)
- Provide support to Corporate Legal team in relation to contracts, corporate governance and other corporate legal matters
- The expected compensation range for this position is between $146,100 - $289,900 based on a full-time schedule
- Location, confirmed job-related skills and experience will be considered in setting actual starting salary
- Bonus based on performance and eligibility; target payout is 30% of annual salary paid out annually and an additional target payout of 15% of annual salary is paid out over 3 years following the end of the performance period
- Long term incentive equity may be awarded based on eligibility and performance
- Paid time off subject to eligibility, including paid parental leave, vacation, sick, and bereavement

- J.D. from an accredited law school
- 6+ years of relevant legal experience, including meaningful time in private practice with a top-tier law firm and, preferably, a combination of law firm training and in-house experience with a major international company
- A comprehensive understanding of legal principles underlying various M&A transactions, including disclosure, antitrust, compliance, corporate governance, etc.
- Experience with securities, corporate governance and/or commercial contracts experience a plus
- Ability to execute in a fast-paced, demanding environment
- Experience with cross-border transactions and international acumen
- Superior analytical ability and drafting/negotiation skills
- Strong business orientation and excellent judgment in balancing risk taking with specific business guidance combined with unquestioned integrity
- Outstanding interpersonal and leadership skills as well as executive presence –ability to motivate and positively influence others at all organizational levels
- Team and transaction management skills across legal disciplines and jurisdictions
- Proactive and dynamic with demonstrated process and continuous improvement orientation, particularly on legal process and forms
- Experience with licensing, service and distribution agreements, joint development agreements and other relevant commercial agreements
- Fluency in a second language helpful but not required
