General Purpose:

TPx Communications is seeking an entrepreneurial, business-savvy, and energetic lawyer with broad general legal experience, including litigation, informal dispute resolution, insurance work (including claims, filings, renewals), regulatory filings, compliance, and employment.

This is an exciting opportunity in a growing Legal department supporting an expanding and transforming business. The role requires focus, drive, self-initiative, and thoughtfulness. Depending on the experience and skill of the applicant, the position may be filled at either an Assistant General Counsel or Sr. Counsel level

Essential Duties and Responsibilities:

  • Hands on management of outside counsel with respect to the Company’s portfolio of employment and other litigation matters.
  • Responsible for evaluating, resolving, and managing all pre-litigation commercial disputes with customers and vendors, including contract analysis, position development, and resolution.
  • Collaborate with and advise internal clients on negotiation strategy and positions related to contract and other disputes.
  • Provide risk mitigation advice and support Company objectives to various stakeholders.
  • Close collaboration with internal stakeholders and external vendors to prepare and submit annual regulatory documents and updates and to respond to agency inquiries.
  • Track regulatory commitments, deliverables, and overall project timelines.
  • Provide support for the board of directors, including preparing and reviewing materials for the board and its committees.
  • Preparing corporate documents, such as resolutions, consents, certificates, charters, and policies.
  • Responsible for subpoenas from various governmental agencies (FBI, DOJ, DEA, etc.), third-party civil subpoenas, and similar issues.
  • Develop and implement litigation reports, processes, and templates (legal hold orders, loss contingency reports, etc.).
  • Conduct pre-suit investigations, including document review and witness interviews, and document findings for executive leadership.
  • Manage and report insurance claims and drive strategy for insurance litigation.
  • Ability to work collaboratively within Legal and cross-functionally throughout the Company and to develop strong relationships with Sales, HR, Finance, Service Delivery, and other business units.
  • Both supervise and partner with outside counsel to secure litigation budgets and manage matters to budget.

Other Responsibilities:

  • Perform special projects and responsibilities assigned by the Chief Legal and Administrative Officer and Assistant General Counsel.
  • Provide practice, actionable advice that strikes a balance between legal risks and business goals.

Required Qualifications:

  • Bachelor’s degree and law degree (JD) from an accredited law school
  • Membership in good standing in the bar of at least one state
  • For consideration of the AGC role, a minimum of 10 years of legal experience in a law firm and corporate legal department. Consideration for the Sr. Counsel role will require a minimum of 5 years.
