Devonshire Recruiting & Consulting Partners is actively seeking a talented VP of Legal to oversee all legal affairs and compliance matters for our client, a prominent company in the medical device/life sciences sector. This full-time, in-office role will require daily collaboration with the President as well as with other on-site employees. The ideal candidate will have a minimum of 8+ years of experience, with a combination of law firm and in-house experience at a publicly traded company.

Responsibilities:
The VP of Legal will have these responsibilities:
- Compliance Management: Ensure adherence to securities laws and regulations, including drafting and filing reports to the SEC.
- Regulatory Compliance: Maintain compliance with other legal and regulatory requirements, including anti-bribery/anti-corruption, global trade, data privacy, and healthcare laws.
- Litigation Management: Handle commercial, employee, and other litigation matters.
- HR Advisory: Provide guidance to HR on employee disputes.
- Contract Management: Draft, review, and negotiate commercial, clinical, and other contracts and agreements.
- Transactional Support: Assist in key transactions such as financings, mergers/acquisitions, distribution agreements, and distributor terminations.
- Intellectual Property: Assess and manage the company’s intellectual property portfolio in conjunction with IP counsel.
- Corporate Governance: Advise the President on corporate governance matters and manage general corporate matters.
- Policy Adherence: Follow company policies, procedures, and documentation requirements.
- Professional Conduct: Treat others with courtesy, sensitivity, and respect at all times.
- Additional Duties: Perform other duties as assigned.
- Hiring Process: Ensure a fair and effective hiring process.
- Goal Setting: Set goals, provide clear direction, and track progress.
- Training and Coaching: Offer training, coaching, feedback, and recognition.
- Employee Support: Respond to employees' needs and questions promptly.
- Career Development: Support employees' career goals and development.
- Communication: Communicate updates to employees in a timely manner.
- Issue Resolution: Address employee concerns and performance/behavior issues appropriately.
- Role Modeling: Serve as a role model to employees across the organization.
- Proactive Management: Work proactively to ensure the team meets the organization's demands.
- Education: Juris Doctorate required with admission to the Massachusetts Bar.
- Experience: Minimum of 8 years of experience, with a combination of law firm and in-house experience at a publicly traded company, including at least 5 years in a large law firm.
- Specific Skills/Experience:
- SEC filing experience (Proxy, 10-K, 10-Qs, 8-Ks, Form 4s, etc.).
- Deep understanding of and ability to analyze financial statements.
- Medical device/life science experience preferred.
- Computer Skills: Highly skilled in Microsoft Excel and PowerPoint.
- Travel: Willingness to travel domestically and internationally up to 10%.
- Language Requirements: Fluent in English.
