Sittin’ Tall in the Saddle Back in 2020, the world’s largest alternative asset manager took private a Kan.-based midstream operator in a surprise and sweetened deal valued at $6.3 billion. Since those days of yore under the wing and capital infusions of Blackstone, Tallgrass Energy has taken flight as an energy infrastructure force to be reckoned with, diversifying its traditional oil and gas pipeline, processing, and storage business to include exploring new opportunities in CCS, synthetic methane, sustainable aviation fuel technology, and gigawatt-scale green hydrogen and ammonia. Reese Energy Consulting today is following the latest news on Tallgrass, which—aside from its three crude oil pipelines to include the Pony Express, Powder River Express, and Iron Horse and its recently converted 400-mile Trailblazer to C02—operates five natural gas pipelines spanning more than 7,000 miles and flowing 10.3+ BCFD across 10 states. The big bad boy in this bunch includes one of the largest natural gas pipelines ever built in North America. That would be the 1,714-mile Rockies Express simply known as REX, which extends from Colo., to eastern Ohio, with a west-to-east design capacity of 1.8 BCFD and an east-to-west capacity of 2.6 BCFD. Tallgrass operates REX and owns a 75% interest in the pipeline commissioned in 2008. Since its completion, partners have come and gone leaving refiner Phillips 66 the final other stakeholder at 25%, now no longer. Phillips announced today it will sell its 25% share in REX to Tallgrass in a $1.28 billion deal that looks like a win-win for both. Phillips chisels off a big chunk of its $3 billion asset divestment strategy, and Tallgrass gains total ownership of its natural gas mothership. What do you think? Capital. Financial terms of the transaction were not disclosed. i3 ENERGY PLC (AIM:I3E, TSX:ITE, OTC:ITEEF) has confirmed that it has received and recommended a firm offer from Canada's Gran Tierra Energy Inc (TSX:GTE, LSE:GTE, NYSE-A:GTE, ETR:G1P). In total, the offer price is the equivalent of 13.92p, valuing i3 at roughly £174 million, a premium of around 49% to the end of last week Terms of the offer are one new Gran Tierra share for every 207 i3 plus 10.43p in cash for each share. Shareholders in i3 also receive a cash dividend for the three months to end September 2024. Gran Tierra added it considers the offer fair and will not raise it unless another party gets involved. i3 directors have unanimously recommended the offer, which, with other irrevocable acceptances, gives Gran Tierra over 33% support. Another week, another quarter-end day looms. And on that note, Macquarie Asset Management has concluded the acquisition of a 49.9% stake in the Norwegian renewables developer Hydro Rein for $332m. The deal was announced in October 2023. Hydro Rein has 8.4GW of projects in development across its core markets of the Nordics and Brazil. Macquarie is investing via its Green Energy & Climate Opportunities Fund, and the deal is set to help Hydro Rein funds its pipeline of projects in development and construction. Hydro Rein was established as a subsidiary of Norwegian metals business Norsk Hydro, which is set to retain a 50.1% stake following the deal. Mark Dooley (pictured left), global head of green investments at Macquarie, said: "Decarbonising vital industrial materials like aluminium is a key challenge of the energy transition. Hydro Rein is helping to pioneer low carbon aluminium smelting and is playing a leading role in enabling industries like the automotive sector to reach its decarbonisation targets.
