The week started with general shareholders meetings in Romania and Austria and continues with Poland. There are interesting items on the agenda, many of the referring to a refresh of the composition of the members of the board. How important is gender balance for listed companies? How important is gender balance for institutional investors voting in portfolio companies?

The GM takes place in Warsaw and the company provides electronic communication channels. - 26 January: ordinary GM called by Electrica S.A. (#EL) listed on Bucharest Stock Exchange, for appointing members of the Board of Directors by application of the cumulative vote. The deadline for proposing candidates was 20 December 2023. The GM takes place in Bucharest and the company provides electronic voting using its platform. There are other 7 GMs called for next weeks and we have the proxy reports are under preparation: - 22 January: ordinary and extraordinary GMs called by Hidroelectrica SA S.A. Each market has its particularities: in Germany there is a tendency to have more virtual general meetings and the trend is criticized, especially by individual investors that do not have other events to join for discussing with the management and with members of the boards. In Romania there are many general meetings taking place in same time in different places (cities) without webcasting offered. There is room for improvement and investors are expecting listed companies to adapt the dates and times in order to give them the opportunity to join the meetings, in-person or remotely. However, shareholder engagement is covered better by listed companies comparing with last years.
This week is a short one for Romanian market: there are two holidays on 1 and 3 May.
