📢 Bernitsas Law, together with Argyropoulos-Gissaki and Associates Law Firm, advised Thrivest Holding LTD (Thrivest), a holding company owned by prominent Greek entrepreneurs, on its agreement with the Hellenic Financial Stability Fund (HFSF), intended to create the fifth banking pillar in Greece (Agreement). Thrivest is a significant shareholder of each of Pancreta Bank and Attica Bank and the HFSF is a significant shareholder of Attica Bank. 🎉 Nikos Papachristopoulos, Maria Nefeli Bernitsa assisted by a multimember team of Counsels, Senior Associates and Associates from different practice areas, advised Thrivest on the transaction. 👉 The Agreement provides for (i) the merger of Pancreta Bank into Attica Bank (Merger), and (ii), subject to completion of the Merger, a subsequent investment of up to €675.1m in the combined bank by Thrivest and the HFSF, of which up to €200m would be invested by Thrivest and up to €475.1m by the HFSF, pursuant to a combination of a rights issue and issuance of warrants to be made to raise up to €735m (Capital Raising). Navigating the complexities of coordinating international teams in buy-side mergers and acquisitions (M&A) transactions presents a variety of specific challenges. Matouk Bassiouny & Hennawy (“MBH”) acted as legal counsel to Catalyst Partners in connection with the establishment of Egypt’s first Special Purpose Acquisition Company (“SPAC”) according to resolution No. 2323 of 2024. This follows the issuance of Financial Regulatory Authority (“FRA”) board of directors’ resolutions No. 140 and 148 of 2024. Egypt’s first SPAC will be named Catalyst Partners Middle East (“CPME”), and has been established with an issued and paid-up capital of approximately EGP 10 million. CPME will focus on acquiring companies in the non-banking financial services and financial technology sectors, with a particular emphasis on companies engaged in finance, diverse financial services, and payment platforms. The MBH team advising on the transaction was led by partner and head of capital markets Mohamed Abdel Fattah (pictured) and included Khaled Abdelwahab (Senior Associate). Uganda Legal Alert: The Competition Act has finally been assented to by the president, after 2 decades in the making. The Act aims to promote and sustain fair competition and consumer protection. Among others, the new law establishes a framework for regulating abuse of dominance, anti-competitive practices and agreements, as well as mergers, acquisitions, and joint ventures, including an approval requirement. The Act also introduces hefty penalties for non-compliance.
