If that % of shareholders, by number of shares held, wish to go ahead with a sale of the company, all the others are forced to sell ("dragged along"). Pick a number that's too high and it may be difficult for the founders to be able to sell their company, pick a number too low and the investors could force the founders to sell even if they don't want to. VC/PE fundraising declined in 2023/2024. Yes, it is lower than the levels of 2021/2022, but it's important to note that the amounts are not very different from the 2018/2019 range. However, there have been some changes over this period, such as a greater concentration of capitals in larger funds and increased difficulty for first-time funds to raise capital. But what about angel investors? Beyond institutional investors, the realm of individual angel investor money is relatively an untouched area worth exploring. For example, many people may be interested in this but don't know where to start. These capital sources aren't included in any statistics, despite being substantial untapped potential capital for the industry. Angel School can provide more insights on this topic. The founders’ shares (those that have not already vested) will vest in equal amounts over this period. founders usually push for 3 years and no cliff Investors often ask for 4 year vesting and a 1 year cliff So, which wins out? Based on 2000+ UK funding rounds done on SeedLegals, the data shows that in early angel rounds the founders get their terms, but for larger rounds with VC investors, 4 year vesting becomes increasingly common. If you’re raising a seed round, you will need 3 plans. Here's how I broke it down in my Q&A with Imperial College London and I-X: 1️⃣ Plan A - $1M - $3M. This is for the seed funds. If you pitch anything less, they will tell you that you’re too early. 2️⃣ Plan B - $250k - $750k. This plan creates scarcity and urgency, pushing Angels and Micro VCs to make a quick decision. 3️⃣ Plan C - $4M+. If you’re in front of a larger VC, don’t waste the meeting.
