The Registrar of Joint Stock Companies and Firms (RJSC) is all set to raise awareness about the regulatory requirements of starting a company in Bangladesh and various new features and changes of the company registration system and process. RJSC uploaded a video tutorial on “Introduction to Model Memorandum and Articles of Association” in their Facebook page on 20 May, 2024, https://lnkd.in/gtyJ84YR The video is one of three online video tutorials the USAID Feed the Future Trade Activity has prepared in collaboration with RJSC regarding starting a company in Bangladesh, namely, 1) Who needs to register with RJSC; 2) Choosing the right business structure; and 3) Introduction to Model Memorandum and Articles of Association. Tutorial 1: Who needs to register with RJSC - This video will empower entrepreneurs with knowledge, information and regulatory requirements about why and when they should register a business with RJSC. Tutorial 2: Choosing the right business structure - A total of 9 types of business structures register with RJSC. This video briefly describes these types and highlights some of the key features and requirements so that entrepreneurs can choose the right type of company. Tutorial 3: Introduction to Model Memorandum and Articles of Association – Many countries offer Model Memorandum and Articles of Association. To simplify the company registration process, RJSC also offers these in their company registration system. This video elaborates on where to find and how to use these Model Memorandum and Articles of Association in the RJSC system. The Model Memorandum of Association has been developed by integrating Bangladesh Standard Industrial Classification 2020 in the RJSC system. The Industrial Classification is a compilation of all the economic activities of Bangladesh and developed based on the International Standard Industrial Classification (ISIC) Revision 4 of the United Nations Statistics Division by the Bangladesh Bureau of Statistics. The ISIC is used by other countries such as UK. Moreover, the Model Articles of Association has been prepared in compliance with the Companies Act, 1994 and drafted in a way whereby promoters have flexibility to set their quorum, notice period for director and shareholders’ meetings, qualification share; but standard enough for investors to not require to make any amendment after registration of the company.
