Following an unsolicited takeover offer from PRM Services, Sierra Rutile has this morning, released an announcement to advise shareholders to Take No Action. Sierra Rutile’s Chairman Greg Martin commented: “We have formed the view that the Offer is opportunistic, inadequate and undervalues the Company, following the Board’s preliminary review of the unsolicited on-market takeover offer from PRM. PRM has opportunistically timed its Offer ahead of key value catalysts, such as the Sembehun DFS, and we do not believe it reflects Sierra Rutile’s significant strategic value as a major participant in the global mineral sands industry. However, the Board will continue to assess the on-market takeover further and issue an official Target’s Statement containing a formal recommendation from Sierra Rutile’s Directors in relation to the Offer. Warren Buffett is set to indirectly bet on a tiny nation that's the world's fastest-growing economy and an emerging oil superpower. The story is about the Republic of Guyana. While the U.S. capital is headquartered in a non-state loci, Guyana is the diplomatic headquarters of CARICOM- The Caribbean Economic Community - principally founded by the English-speaking independent Caribbean island nations. Through Zagada I negotiated a BPO-QA deal with Qualfon which has grown from 250 workers in 2005 to over 10,000 workers today - the biggest private employer in Guyana. At current levels the deal generates about US$250M in revenues and about US$800M in direct and indirect multiplier effect - a US$1B plus effect on the economy. With the discovery of oil - Guyana is now on a different growth trajectory - But we're happy about Zagada's foundational role in that market. Go Guyana. 😎

#ASXNews Tamboran announces intention to re-domicile to the United States Tamboran Resources Limited has made the decision to re-domicile the Company and its subsidiaries from Australia to the United States of America by way of a proposed scheme of arrangement with its shareholders under Part 5.1 of the Corporations Act 2001. The Company’s Board of Directors believes that the Scheme will best position Tamboran Group for the next phase of its growth as #TBN seeks to accelerate the commercialisation of the #Beetaloo Subbasin, including by: • better positioning Tamboran Group in a deeper capital market in the United States where shale investors are more active. This is expected to allow existing Tamboran Shareholders to benefit from the anticipated growth and more clearly evaluate the performance and future prospects of Tamboran Group, whilst maintaining a listing on #ASX; • providing access to a broader US investor pool, which is more familiar with shale developments, than were previously unable or unlikely to invest in non-US securities. This may lead to a better reflection of valuation for Tamboran US HoldCo over time and improve liquidity in the trading of the Company’s shares; • improving access to lower-cost US debt and equity capital markets, which are larger and more diverse than Australian capital markets. This could enable Tamboran to fund future growth at a lower cost and with less dilution to existing shareholders; and • simplifying Tamboran Group's corporate structure for potential future merger, sale or acquisition transactions, which may increase Tamboran Group's attractiveness as a potential target to strategic and merger partners, sellers or acquirers. This development follows the news that Leviste's Countryside Investments Holdings Corp. has signed a preliminary term sheet with tycoon Manuel Pangilinan, proposing a P5 billion investment for a 71.6 percent stake in RHI, although this agreement is not yet legally binding and remains contingent on several conditions including approvals from corporate boards, shareholders, and regulatory bodies. RHI has emphasized that the term sheet is merely indicative and does not constitute a legal obligation for any parties involved. I was born in the Middle East and spent a significant part of my childhood there. I have many fond memories of that time, where the oil economy was driving the region's economic growth. Over the past two years, I have gone back to visit a very different Middle East from where I grew up both economically, and especially socially. The M&A landscape in the Middle East, particularly within the Gulf Cooperation Council (GCC) economies, is undergoing a transformative shift. Despite a slowdown due to lower oil production, the region's sovereign wealth funds (SWFs) are leveraging their significant capital reserves to spearhead economic diversification and forge stronger global connections, notably with Asia. Key Insights: ▪ Economic Transformation: SWFs are leading the charge in redirecting investments from traditional hydrocarbons to more diverse sectors and geographies. The move towards Asian markets is especially notable, with deal values surging by nearly 60% in the first nine months of 2023. ▪ Strategic Investments: From consolidating local sectors to making high-profile acquisitions for national branding in football, the SWFs' strategies are multifaceted.
