𝐑𝐨𝐥𝐞 𝐃𝐞𝐬𝐜𝐫𝐢𝐩𝐭𝐢𝐨𝐧 Nextalia is looking for a M&A Senior Legal Counsel to hire within the Legal Department reporting directly to the General Counsel. The candidate will have the following responsibilities related to the legal and corporate aspects of the M&A transactions: • support and advise our funds’ Investment Teams on M&A transactions (e.g. mergers, acquisitions, divestitures, joint ventures and other strategic transactions) through the analysis, negotiation and drafting of legal notes, contracts, and related ancillary documents; • oversee the whole process related to the transaction, including the execution of the post-completion formalities and obligations; • support compliance and other legal counsel in leading the internal approval process from the preliminary committee to the final approval of each transaction; • coordinate external legal counsels. 𝐐𝐮𝐚𝐥𝐢𝐟𝐢𝐜𝐚𝐭𝐢𝐨𝐧𝐬 • Law degree and fully qualified Italian lawyer; • 3+ years M&A and corporate law experience in leading law firms with high volume of M&A activity (In-house experience in an M&A department is considered a plus); • strong knowledge of corporate and civil law (the knowledge of AIFMs regulations is considered a plus); • excellent English skills (written, spoken, contract negotiations); • ability to manage several projects simultaneously independently without losing oversight; • capacity to work well under pressure, meet deadlines, and assume responsibilities.
