It was a pleasure to chat with Anthony Badaracco on the nuances of US antitrust law, including the most crucial and pragmatic question: what conduct is prohibited and what is permitted. In my view, antitrust is one of area of the law that is remarkably counterintuitive. Agreements that are anti-competitive can seem innocuous while other business practices that may seem suspect are permitted or at least defensible under a "rule of reason" or doctrine. So it's important to have a refresher on US antitrust law from time to time. I trust this will be useful to many both, here in the US and around the world. #litigationrisks

Excited to appear on this panel at Fordham's 51st annual international antitrust conference. Intend to make the case that the merger guidelines should be all about competitive effects analysis and that analysis should be driven by a good economics framework. Good antitrust economics is neither pro-defendant or pro-plaintiff, and it can evolve with new learning, but it should be the basis for determining whether a merger, if consummated, violates Sherman Act (Section 2), Clayton Act (Section 7) or FTC Act (Section 5).
