Many people are surprised when I tell them that a bankruptcy case brings together multiple types of law: contract, secured transactions, real estate, litigation, and, yes, even family law. What's more, the relative recency of the Bankruptcy Code's adoption (the Code we use today is less than 50 years old!) allows unexplored nuances to pop up every year. In my recent article for the Minnesota Bankruptcy Bulletin, I explain a recent case by the 8th Circuit BAP which dealt with an uncommon, but not implausible, situation: what happens when an individual files chapter 7, then gets divorced, then converts to chapter 13, and then converts back to chapter 7? What status does a child-support claim (usually given first priority) have if it is post-petition but pre-conversion? And can legislative history help us answer that question? The Corporate Transparency Act: The Latest Reporting Requirements in the Battle Against Money Laundering I am thrilled to have contributed to the Winter 2024 Issue of The Mother Court newsletter for the Federal Bar Association SDNY Chapter! Here is a snippet from my article discussing the new reporting requirements under the Corporate Transparency Act: Effective January 1, 2024, all domestic and foreign reporting companies are required to report its beneficial owners under the new federal Corporate Transparency Act (CTA), with few narrow exceptions and stiff penalties to follow. The purpose of the CTA’s enactment is to combat money laundering and the use of shell companies, or other opaque ownership to conceal finances, making it a challenge for bad actors to benefit from ill-gotten gains. The CTA requires certain types of United States and foreign entities (a Reporting Company) to report beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury. Unless exempt, the CTA reporting requirements impacts corporations, LLCs, certain trusts, and similar structures.
