🚀 How do serial acquirers realize synergies post-acquisition?  In my recent interview with Alex Prokofjev, CFA, founder of RollUpEurope, we explored the strategies that serial acquirers use not just to buy companies, but to effectively manage them post-acquisition to unlock value and synergies. What happens after the acquisition? Do you integrate these businesses or keep them within a group? How do you make sure the synergies are realized? Alex shared that while buying smaller companies at a discount is attractive, the real challenge lies in what comes next. For many of these businesses, which are often in the $1 to $5 million revenue range, integration isn't always the immediate goal. Instead, maintaining a flexible approach allows for experimentation with new ideas and strategies that wouldn't be possible in a single, standalone business. When these businesses are part of a larger group, it's easier to test new initiatives without the risk of sinking the entire ship. Investing in innovative ideas becomes more feasible, as the impact of any single failure is minimized in the broader portfolio. For HoldCos, success in scaling comes down to having a clear industry thesis and a smart approach to centralization. Key functions like capital allocation, flawless execution of add-ons, and building a strong culture and hiring standards are essential. The approach to integration can vary; for example, Visma keeps its acquisitions decentralized, while Constellation Software sets centralized standards for things like working capital. Breaking News 🚨 : TIER Mobility and Dott are merging! Here is everything that you need to know: 👉 Dott and Tier have entered into a preliminary agreement to bring both companies together, creating a European leader. 👉 Both brands will continue to operate under the same names 👉 Together, both companies generate €250m in revenue and 125m rides a year, with operations in 20+ countries 👉 The deal is backed by a mix of existing shareholders from both TIER and Dott, led by Mubadala Capital and Sofina, and including Estari, M&G, Prosus Ventures, Novator and White Star Capital. 👉 Participating investors are investing €60 million in equity 👉 New management: Tier’s founder and current CEO Lawrence Leuschner will become the Chairman of the company, with Dott’s Henri Moissinac taking the CEO role, Maxim Romain as the COO and Alex Gayer FCA MBA as CFO 👉 The deal is subject to several closing conditions and it is expected to close within two months from today’s announcement This is a massive big step forward for shared micromobility in Europe and I'm hoping that they can restructure the combined entity, making a brutal reset to get costs under control. if they manage to do so within the end of this year, with 15 to 20% growth in the following years, it can potentially become a EBIT positive Billion $ business. What's key in 2024 is to maintain the €250m revenue, - generate ~50% Gross margin - limit G&A to €50m - Bring R&D costs down to €25m - 15 to 20% EBITDA - possibly low single digit EBIT Looking forward to see how this new entity evolves! #mobility #merger #transportation

Breaking 🚨: TIER-Dott is born! TIER Mobility and Dott has closed the merger transaction creating TIER-Dott. Both Tier and Dott apps will exist for now, with possible convergence in the future CEO of TIER-Dott Henri Moissinac said: "The closing of this transaction marks the start of an exciting new chapter for both TIER and Dott. We are focused on uniting our teams under the goal of running responsible operations for users, cities and the environment, helping to lower car use by offering a reliable and sustainable alternative." The combination creates a new global leader next to Lime in shared micromobility with €250m in revenues and presence in more than 20 countries. If you have spent enough time looking at Shared MM financials, it is clear that Gross Margins are high, but you need scale and a lean team to be profitable. TIER-Dott is well positioned to be EBIT positive soon and when it happens, it would be a massive milestone for shared MM. It's been a while since I've written about #telcos and my latest piece for Hock Lock Siew touches on M1's role in the Keppel transformation. Market rumours have been swirling about a possible acquisition by StarHub since 2020, not too long after Keppel and then-listed SPH took M1 private. These rumours surfaced again recently, and it's hard to see why wouldn't it be a viable transaction. Singapore-focused telcos are fighting for the same pie that's unlikely to grow much bigger. Closing the gap between M1 and it's next closest competitor StarHub will be an expensive venture, with increased costs from customer acquisition or subsidies, even as M1 focuses on the enterprise business.
