The subject of legal privilege is one that always makes me slightly nervous! In this update from Hogan Lovells, a recent case is examined on the application of legal privilege in cases involving a company and its shareholders. The 'shareholder principle' generally prevents a company from asserting legal privilege to refuse disclosure of documents to its shareholders. Like much of company case law, this principle arises from a somewhat archaic decision that pre-dates our current understanding of the relationship between a company and its shareholders and was certainly made long before CREST accounts were even dreamed of!
