Bain Capital and Reverence Capital Partners acquire Envestnet, Inc for $4.5 billion #Bain Capital and #Reverence Capital announce their agreement to acquire #Envestnet, a leading #fintech provider of wealth management technology and data, in a deal valued at $4.5 billion. This acquisition, supported by a consortium of minority investors including BlackRock, Fidelity Investments, Franklin Templeton Investments, and State Street Global Advisors, underscores the significant value and potential of Envestnet’s platform. Founded in 1999, Envestnet’s software and data solutions are integral to wealth managers and banks, managing over $6 trillion in assets and nearly 20 million accounts. The platform is widely used by more than 109,000 financial advisors and is trusted by 16 of the 20 largest banks in the US, as well as 48 of the 50 biggest wealth management and brokerage firms. This broad adoption highlights Envestnet’s critical role in the financial services industry. The agreement, unanimously approved by Envestnet’s board, will provide shareholders with $63.15 in cash per share, and the deal is expected to close in the fourth quarter. This strategic move is poised to enhance Envestnet’s growth trajectory and expand its innovative offerings under the new ownership structure. Phil Loughlin, partner at Bain Capital, praised Envestnet’s industry-leading platform and its deeply connected ecosystem. He emphasized the importance of Envestnet’s technology and data capabilities in powering the businesses of major wealth management firms, registered investment advisors (RIAs), and broker-dealers. Current Global M&A Trends, based on 2023 data. Technological Integration: M&A deals were often driven by the desire to acquire technology and innovation. Companies sought to stay competitive by acquiring tech firms that could enhance their products or services. Cross-Border Transactions: Globalization continued influencing M&A trends, with companies looking for opportunities beyond their domestic markets. Cross-border deals were prevalent, allowing companies to access new customer bases and expand their global reach. Healthcare Sector Dominance: The healthcare sector saw significant M&A activity, driven by the need for scale, efficiency, and advancements in medical technology. Pharmaceutical companies, in particular, were involved in strategic acquisitions to bolster their pipelines. Renewable Energy and Sustainability: Increasing emphasis on sustainability and the global shift toward renewable energy sources led to M&A activity in the energy sector. Companies aimed to position themselves as leaders in the transition to cleaner and more sustainable practices. Private Equity Involvement: Private equity firms play a crucial role in M&A transactions, often partnering with strategic buyers to facilitate deals. These firms were attracted to opportunities for value creation and returns on investment. Special Purpose Acquisition Companies (SPACs): SPACs gained popularity as an alternative method for companies to go public. These blank-check companies raised funds through an IPO with the sole purpose of acquiring an existing company, providing an alternative path to traditional IPOs. Challenges Due to Economic Uncertainty: Economic uncertainties, geopolitical tensions, and the impact of global events such as the COVID-19 pandemic could influence deal-making strategies. Some companies may choose to delay or reassess their M&A plans in response to changing economic conditions.

It's interesting to look at the biggest acquirers in the decade following dot com. Lets call them Not Yet Big Tech (2000 - 2010) Today there are only 3 Big Tech firms on this list. And that looks likely to shrink given US and EU deal scrutiny. Most of the M&A activity over the last decade has been PE and biopharma. 60% weren't on the list in the prior decade! Thinking about who acquires #climatetech firms is an interesting question. Climate now spans most of the economy and we're likely due for a reshuffle of the biggest acquirers.

Last week we saw significant global deal activity, highlighted by KKR's $4.8 bn acquisition of learning management company Instructure and Ascential's $1.6 bn sale to Informa. On the fundraising front, relevant deals include Clio - Cloud-Based Legal Technology's $900 mn Series F, led by New Enterprise Associates (NEA) Associates, which valued the company at $3 bn and Cohere's $500 mn Series D at a $5.5 bn valuation and led by PSP Investments. Other notable transactions of the week include: - Planck's $300 mn sale to Applied - Applied Intuition's $300 mn Secondary Round, with participation from Andreessen Horowitz, General Catalyst, Fidelity Investments, Lux Capital and NVIDIA - @Vanta's $150 mn Series C led by @Sequoia, valuing the company at $2.5 bn - Chainguard's $140 mn Series C, which valued the company at $1.1 bn and was led by Lightspeed, IVP and Redpoint - Harvey 's $100 mn Series D, led by GV (Google Ventures), valuing the company at $1.5 bn More detailed information on key transactions attached.
